About Our Governing Documents

The Medina Valley Band Booster Club operates under a formal set of bylaws and policies that define the structure of the organization, the authority of the Board of Officers, and the voting rights of paid booster members. These documents outline how decisions are made, how funds are managed, how scholarships are administered, and how compliance is maintained with UIL regulations, Medina Valley ISD expectations, and federal and Texas nonprofit law.

The bylaws establish:

• The responsibilities and authority of the Board of Officers

• The specific items members may vote on

• The procedures for amending bylaws

• The requirements for financial oversight and organizational compliance

Policies provide additional clarity in areas such as scholarships, communication, conflict of interest, and operational procedures. Together, these documents ensure that the booster club functions legally, consistently, and in the best interest of all students.

All updates to bylaws or policies follow the processes defined within the bylaws themselves. Recommendations from parents and community members are welcome and will be reviewed by the Board of Officers in accordance with Article XIII.

Member Voting Rights

Paid booster members in good standing have voting rights on membership items only, including:

• Election of officers

• Approval of the annual budget

• Any general membership item the Board chooses to present

These voting rights are defined in Article II, Sections 2.03 and 2.08 of the bylaws.

Membership voting does not apply to bylaws, scholarships, compliance updates, or operational policies.

Board Authority

The Board of Officers manages all affairs of the organization, including:

• Operational decisions

• Policy updates

• Scholarship criteria

• Compliance requirements

• Vendor and financial procedures

Under Article IV (4.01) and Article XIII (13.01), the Board of Officers is the only group authorized to alter, amend, or repeal bylaws.

Members may submit recommendations but cannot vote on bylaws or board‑level policies.

Scholarship updates are reviewed and approved by the Board of Officers. 

Scholarship Review Committee

To ensure fairness, transparency, and compliance with UIL, MVISD, IRS, and nonprofit guidelines, the Band Booster Club utilizes a Scholarship Review Committee to evaluate all scholarship applications.

The committee consists of 3–5 members appointed by the Board of Officers and may not include parents of seniors or individuals with conflicts of interest. The committee reviews applications, applies the scoring rubric, and recommends recipients to the Board for final approval.

This structure ensures that scholarship decisions are made impartially and consistently, protecting both students and the integrity of the booster club.

Compliance Requirements

The booster club must follow:

• University Interscholastic League (UIL) regulations

• Federal and Texas nonprofit law

• IRS rules for 501(c)(3) organizations

These requirements are referenced in the bylaws and apply to all operational, financial, and scholarship decisions. Compliance updates must be approved by the Board of Officers.
